Product Authorized User Terms

These Product Authorized User Terms ("User Terms") are an agreement between you, as an individual user, and MSYM Investments, LLC d/b/a SuperSonic POS ("SuperSonic," "we," "us," or "our"). They govern your individual use of SuperSonic Cloud, SuperSonic point-of-sale terminals and applications, SuperSonic merchant and staff applications, and other SuperSonic products accessed through credentials assigned to you (collectively, the "Products").
The business or organization that subscribes to or is authorized to use the Products is the "Merchant." The Merchant may be your employer, the operator of a location where you work, or a business you own or manage.
These User Terms apply to you personally. They do not replace or amend the agreement between SuperSonic and the Merchant, and they do not authorize you to accept obligations on the Merchant's behalf.
These User Terms do not govern our public websites, consumer participation in SuperSonic Rewards, or optional employee financial products presented under separate terms.
You accept these User Terms by selecting "I Agree" or another affirmative acceptance control when the User Terms are presented during invitation, account activation, or sign-in. We may record your user identifier, Merchant organization, document version, and acceptance date and time.
You must be legally capable of accepting these User Terms. A Merchant may provide a restricted role to a user under 18 only where permitted by applicable law and authorized by the Merchant. The Merchant remains responsible for authorizing underage staff access and complying with applicable employment and consent requirements.
If you do not agree, do not activate or use your account and contact the Merchant.
The Merchant's use of the Products is governed by a Master Services Agreement or another written agreement with SuperSonic (the "Merchant Agreement").
If these User Terms conflict with the Merchant Agreement regarding fees, service levels, data ownership, subscription term, or the Merchant's rights and remedies, the Merchant Agreement controls. These User Terms govern your individual conduct and obligations. They do not give you rights under the Merchant Agreement.
The Merchant creates, configures, and removes user accounts; assigns roles and permissions; determines what information you may access; and may monitor activity performed through your account. SuperSonic may act on the Merchant's instructions concerning your account and access.
You must:
Until compromise or unauthorized use is reported, SuperSonic and the Merchant may reasonably rely on instructions and activity submitted through your account.
Subject to these User Terms and the Merchant Agreement, SuperSonic grants you a limited, non-exclusive, non-transferable, revocable right to use the Products solely for the Merchant's internal business purposes, within the role and permissions assigned to you.
You may use the Products only as authorized by the Merchant, these User Terms, applicable documentation and training, and applicable law.
You must not:
"Merchant Data" includes information made available through the Products concerning the Merchant, its locations, operations, customers, employees, transactions, pricing, inventory, payroll, reports, and finances.
You must use Merchant Data and SuperSonic's non-public information only as necessary to perform your authorized role, protect it from unauthorized access, and not disclose it outside the Merchant's organization unless authorized by the Merchant and permitted by law.
These obligations continue after your access ends for as long as the information remains confidential. When your role or access ends, you must stop using the Products and return or securely destroy Merchant Data and SuperSonic information in your possession, including copies stored in personal email, devices, photographs, messaging applications, or cloud storage.
Some Products process payment-card, government-benefit, health-benefit, and other regulated transactions. You must follow the Merchant's procedures, applicable training, card-network rules, the Payment Card Industry Data Security Standard, and applicable benefit-program requirements.
You must not record, store, copy, photograph, transmit, or retain a full payment-card number, security code, magnetic-stripe or chip data, PIN, access credential, or benefit-card credential except through an approved Product workflow.
Refunds, voids, pricing, surcharges, receipts, and benefit transactions must be handled through authorized workflows. Some programs require a refund to be returned to the original card and prohibit surcharges or differential treatment. Follow the Product prompts and Merchant procedures applicable to the transaction.
SuperSonic and the Merchant may log and review activity in the Products, including sign-ins, device and security events, configuration changes, transactions, voids, refunds, discounts, reports accessed, and administrative actions. This information may be used for security, fraud prevention, support, audit, training, compliance, and product improvement as described in the Website, Business Contact & Product User Privacy Notice and Merchant Agreement.
Certain Products and hardware support audio or video recording at a point of sale or Merchant location. A Merchant decides whether to enable available recording features and is responsible for providing conspicuous workplace and customer notices and obtaining any consent required by applicable law. These User Terms are not a substitute for location-specific notice or consent. Ask the Merchant if you are unsure whether recording is enabled.
Some Products may provide automated recommendations, summaries, forecasts, anomaly detection, or other AI-assisted output. Such output may be incomplete, inaccurate, or inappropriate for a particular decision. You must review output using appropriate human judgment before relying on it.
You must not submit information to an AI-assisted feature unless the Merchant has authorized that use and the information may lawfully be processed for that purpose. You remain responsible for actions taken through your account and for complying with Merchant policies and applicable law.
A Merchant may enable third-party services or employee-facing financial features, such as earned-wage access, tip cash-out, a payroll card, or a wallet. Those services may require separate enrollment and separate terms from the applicable provider or SuperSonic. Participation is voluntary unless the Merchant lawfully establishes otherwise. These User Terms do not replace the separate terms presented for those services.
Your access may be suspended or terminated when:
SuperSonic may take reasonable protective action without advance notice where needed to protect the Products, the Merchant, other users, or third parties. Sections concerning restrictions, confidentiality, regulated information, intellectual property, disclaimers, liability, disputes, and general terms survive termination.
The Products, software, content, documentation, interfaces, designs, trademarks, and other intellectual property belong to SuperSonic or its licensors. These User Terms grant access rights only and do not transfer ownership.
Merchant Data is owned or controlled as provided in the Merchant Agreement. These User Terms do not give you an ownership interest in Merchant Data.
If you voluntarily provide feedback, suggestions, or ideas concerning the Products, SuperSonic may use them without restriction or obligation to you.
Our collection, use, disclosure, and retention of personal information concerning Product users is described in the Website, Business Contact & Product User Privacy Notice. The Merchant may separately process your information as an employer, business operator, or independent data controller.
Privacy requests concerning SuperSonic may be submitted through our Privacy Requests page. Account access is controlled by the Merchant and should ordinarily be deactivated through the Merchant's administrator.
THE PRODUCTS ARE PROVIDED TO YOU "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SUPERSONIC DOES NOT WARRANT THAT THE PRODUCTS WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUPERSONIC WILL NOT BE LIABLE TO YOU FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST WAGES, LOST DATA, OR LOSS OF GOODWILL. IF LIABILITY CANNOT BE EXCLUDED, SUPERSONIC'S TOTAL LIABILITY TO YOU UNDER THESE USER TERMS WILL NOT EXCEED $100 USD.
Service levels, availability commitments, data ownership, and the Merchant's remedies are governed by the Merchant Agreement. Nothing in these User Terms excludes a right or remedy that cannot lawfully be excluded.
Please read this section carefully. It affects your legal rights.
If a dispute arises between you and SuperSonic concerning these User Terms or the Products (a "Dispute"), you agree to send an individual written notice to legal@supersonicpos.com before commencing legal action. The notice must describe the Dispute, the basis for your claim, and the resolution you seek.
For 60 business days after receipt, both parties will make good-faith efforts to resolve the Dispute. Applicable statutes of limitation and filing deadlines will be tolled during that period. The parties may agree to mediation or another voluntary dispute-resolution process.
Unless prohibited by applicable law, you and SuperSonic waive trial by jury and agree to resolve Disputes only on an individual basis, not through a class, collective, consolidated, or representative action. A claim must be brought within two years after the events giving rise to it first occur or within the applicable statute of limitations, whichever is shorter.
Nothing prevents either party from seeking injunctive relief to protect confidential information or intellectual property or from bringing an eligible individual claim in small claims court.
Governing law and venue. These User Terms are governed by Florida law, without regard to conflict-of-law principles. Subject to Section 16 and applicable law, exclusive venue is in the state or federal courts located in Hillsborough County, Florida.
Changes. We may update these User Terms. For material changes, we will provide notice through the Products or electronically and, where appropriate, request renewed acceptance.
Electronic acceptance. Your affirmative electronic acceptance has the same effect as a handwritten signature to the extent permitted by law. We may retain an electronic copy of the version accepted and an associated acceptance record.
Assignment. You may not assign these User Terms. We may assign them in connection with a merger, acquisition, financing, corporate reorganization, or sale of assets.
Severability. If a provision is unenforceable, it will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in effect.
Entire agreement. These User Terms and the documents expressly incorporated into them are the entire agreement between you and SuperSonic concerning your individual use of the Products.
